Terms of Service

1. Who we are

Circulta is operated by NeuroHappy, Inc, a Delaware corporation (EIN 30-1338445), 651 N Broad St, Suite 201, Middletown, DE 19709, USA. You can reach us at support@circulta.com.

In these terms, "we" and "us" mean NeuroHappy, Inc, doing business as Circulta. "You" means the person or organization holding the account.

2. What the service is

Circulta provides a hosted content loop reached through a QR code. You upload content, we generate a permanent code and link, and we deliver one piece of your content per day to whoever scans it. The loop restarts when it reaches the end.

We provide the loop, the code, the license to use it, and the technical upkeep. We do not supply, print or manufacture physical products.

Circulta is a subscription service. Words like "permanent" or "forever" describe how the QR code and link never change technically, not a one-time payment. Your loop stays live for as long as your loop subscription is active and paid. If it lapses, delivery stops per section 9 below.

3. Your account

You must be at least 18 to hold an account. Keep your login details to yourself, you are responsible for what happens under your account.

You may create an account without buying anything.

4. Your content

You keep ownership. Nothing you upload becomes ours.

By uploading, you grant us a limited license to store, process, adapt technically (resizing, compression, format conversion) and deliver your content, solely to run the service. This license ends when your content is deleted.

You are fully responsible for your content, including its quality, accuracy, and legality, and for the physical product you attach it to. We are not responsible for the content itself or for any product built around it.

You confirm that:

We do not review content before publication. We may remove content and suspend a loop if we become aware it breaches this section, and will tell you why.

Automatic optimization. Images you upload are automatically compressed and resized for delivery, and the original high-resolution file is deleted after processing. Review your images before uploading, as we cannot restore the original once this has happened. Audio (MP3) files are not currently compressed, but we reserve the right to apply the same kind of optimization to audio in the future.

During our beta period, a limited number of authorized staff may view (but never edit) the content of any account, solely to provide support and verify the service is working correctly. This access is logged and restricted to designated staff. It ends when the beta period closes.

5. Loop activation and cancellation

Your loop goes live the moment you activate and pay, regardless of the start date you choose. The start date only controls which drop shows on which day, it does not delay publication.

You have 48 hours to cancel an activation. This window closes at 48 hours after activation. Cancelling within this window:

You may cancel an activation up to twice per loop. Each activation-and-cancellation cycle costs us a small, non-refundable payment-processing fee, which is why this limit exists.

Drop count and drop size normally lock permanently at activation. If you cancel within the 48-hour window, both unlock again so you can change your choice before reactivating. Once you reactivate (or once the window closes), they lock again for good.

By activating, you confirm you understand your loop goes live immediately and accept that this becomes final once the cancellation window closes.

You may buy multiple codes with the same configuration in a single payment, and activate them separately.

6. Renewal and price

When your term ends, the service continues for a further term of the same length unless you cancel. We will remind you before this happens, with the price and the date.

Your price stays the same for as long as your service renews without interruption, with one exception: we may raise prices for continuing customers where our own costs change materially, and only with 60 days' written notice, giving you the chance to cancel before the new price takes effect. If your service lapses and you reactivate later, pricing will be whatever applies at that time.

7. Momentum and usage

Every loop includes ~300 daily openings as part of its base price. An opening is counted each time someone loads your loop's public page. That allowance belongs to the loop and is not shared: a quieter loop's unused openings do not transfer to a busier one. When a loop goes past its own ~300 openings in a day, the extra traffic draws on your account's Momentum credit, which is shared across all your loops. Momentum is deducted based on the actual size of the file served. Images are automatically optimized on our end, so their size is never something you need to think about; this applies to audio drops only. Momentum is bought in one-time packages, whenever you choose. We never charge for Momentum automatically, and running out never takes a loop offline.

8. Availability

We aim to keep the service running continuously but do not guarantee uninterrupted availability. Planned maintenance will be announced where practical.

If a loop cannot be served, we display a fallback page rather than an error.

9. Ending the service

You may cancel at any time, effective at the end of your paid term. Your loop then shows an end-of-loop page.

Retention after your loop ends: your content is retained for 6 months from when coverage stops (this includes a 1-month grace period, so 5 months plus the grace month, not 6 months on top of it). After 6 months, content is permanently deleted and the code is retired for good.

If you delete a loop directly, its content is removed immediately, not held for any grace period.

Archived loops fall under the same 6-month retention, measured from whichever came first: your coverage ending, or the day you archived the loop. Archiving a loop does not extend how long we keep it.

Unused files removed from your media library (no longer linked to any loop) are held for 14 days before permanent deletion, shown as a countdown in your library.

You may reactivate an ended or archived loop within that same 6-month window to restore the same code; contact support to arrange it.

We may suspend or end your service if you breach these terms, if payment fails after reasonable attempts, or if required by law. Where we end the service without cause, we will refund the unused portion of your term.

10. Liability

To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profits or lost sales. Our total liability is limited to the amount you paid us in the twelve months before the claim.

Nothing here limits liability that cannot lawfully be limited.

11. Changes to these terms

We may update these terms. Material changes will be notified by email at least 30 days in advance. Continuing to use the service after that means you accept them.

12. Law and disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes go to the state or federal courts located in Delaware.

If you are a consumer in the EU or UK, nothing here removes rights your local law gives you that cannot be waived by contract, and you may still bring proceedings in your own country or use the EU Online Dispute Resolution platform.

13. General

If any part of these terms is found unenforceable, the rest still stands. These terms are the whole agreement between us about the service, replacing any earlier discussions. Events genuinely outside our reasonable control (such as a widespread internet or cloud-provider outage) do not count as a breach by either of us, though we'll work to restore service as soon as we can.
